Modification concerning my ASBL

When do I need to fill in a requisition form to change my ASBL's information?

Submitting a duly completed requisition form is mandatory in the following cases:

  • Non-statutory modifications
  • Statutory modifications with amendment to the articles of association involving a change in one or more of the information registered with the RCS (e.g.: trade name, purpose, adress of the registered office in the Grand-Duchy of Luxembourg, duration)
  • Modification concerning representative agents
  • Change of legal form
How do I fill in a requisition form for the RCS?

The requisition form to be completed for a modification is automatically loaded based on the information I selected on the previous page.

What documents do I need to file with the RCS to amend the Articles of Association of my ASBL?
  • The complete deed of amendment modifying the articles of association: such as the minutes of the general meeting
  • For any changes to my articles of association, I must file a coordinated version of my updated Articles of Association (see the "Updated Articles of Association" service separately, under "Other filings without requisition form")
Can I attach any file to my application?

No, I must comply with:

  • Presentation: I reserve a horizontal white area of at least 35 millimetres at the top of each page, allowing LBR to affix a virtual label representing the electronic filing receipt. I am writing in a commonly used in office automation font, black on a white background
  • Language: I write in one of the three administrative languages (Luxemburgish, French or German)
  • Format : I send it in PDF/A Text (see tutorial here) on A4
Is the header of my documents empty?

No, I must include the following information in the header of my documents (under the 35mm white area):

  • Trade name (e.g.: Name of my ASBL)
  • Legal form (e.g.: Association sans but lucratif)
  • Registered office address (e.g.: 1 rue de Luxembourg, L-1234 Luxembourg)
  • RCS number (e.g.: F123456)
How much does the modification with the RCS cost?

The modification with the RCS costs €10.96 excluding VAT.

In the case of an amendment to the articles of association with no change to one or more information entered in the RCS (simply a full amending deed attached), the filing fee is free.

In the case of a deed under private agreement, I must delegate to the RCS-manager the recording of my deed of amendment: the recording fees are €12 (not subject to VAT).

The total price to be paid (excluding VAT) for a filing is therefore generally €22.96.

I can also choose to use the LBR assistance service by going to the counter upon previously agreed appointments which are booked via the helpdesk: the procedure will then cost €42.96 excluding VAT (€22.96 for the filing fees and €20 for the counter fees).

What documents are published in RESA?

The deed of amendment of my ASBL is fully published and can be consulted by the general public.

Do I also have to register the modification with the RBE (Beneficial Owners Register) ?

Yes, if my changes affect the identity of the beneficial owners or Senior management officers of my ASBL (change of management board). In this case, I must declare them to the RBE, within one month of the event: here.

How much does a modification to the RBE cost?

A modification to the RBE costs €15 excluding VAT.

I can also use the LBR helpdesk service by going to the counter upon previously agreed appointments which are booked via the helpdesk: the process will then cost €35 excluding VAT (€15 filing fee and €20 counter fee).
