Registration of my ASBL

Articles of association:

In addition to the data already required (which can be consulted here), the articles of association included in the deed of incorporation (by notarial deed or private agreement) to be filed with the RCS have changed with the law 2023. I find all the details on www.myasbl.lu.

The minimum number of members has changed:

  • There are at least two founding members (legal entities or individuals)
  • The executive board has a minimum of two directors (three if the association has three or more founding members)

To access the online filing formalities, I must authenticate myself on the lbr.lu website using a product issued by Luxtrust S.A. (or a Luxembourg eID card, or even an eIDAS electronic certificate).


The requisition form:

I have added same information as in the articles of association:

  • The trade name
  • The legal form
  • The precise address of the registered office
  • The purpose
  • The date of incorporation
  • The duration
  • The financial year
  • The authorised representatives

Where applicable, I declare:

  • The general power of the association's representatives
  • The day-to-day management delegate for ASBLs which appoint one
  • The permanent representative (natural person) is needed if I have appointed a legal representative (director / delegate / liquidator)
  • The réviseur d'entreprise agréé (approved statutory auditor) is needed only for large ASBLs, and public interest ASBLs

Documents to attach:

  • The deed of incorporation (under private agreement or by notarial deed) This document is intended for publication and is registered by the manager of the RCS at the time of filing (except in case of notarial deed)
  • (+ if my ASBL is of public utility, the grand-ducal decree recognising the public utility)

I respect the standards of:

  • Format: I send in PDF/A Text format (see tutorial here) in A4
  • Presentation: I reserve a horizontal white area of at least 35 millimetres at the top of each page. I write in a font commonly used in office automation, black on a white background, in one of the three administrative languages (Luxembourgish, French or German). I must include the following information in the header of my documents (under the 35mm white area):
    • Name (e.g.: Name of my ASBL)
    • Legal form (e.g. Association sans but lucratif)
    • Registered office address (e.g.: 1 rue de Luxembourg, L-1234 Luxembourg)
